Millennium Agents Challenge
2009-2010 OFFICIAL RULES

THIS PROMOTION IS INTENDED FOR PLAY IN THE UNITED STATES ONLY AND IS GOVERNED BY U.S. LAW.  DO NOT ENTER IF YOU ARE NOT ELIGIBLE EVEN IF YOU ARE LOCATED IN THE U.S. AT THE TIME OF ENTRY.

  1. ELIGIBILITY REQUIREMENTS:  The Millennium Agents Challenge (“ Promotion”) is open to legal residents of the fifty (50) United States and the District of Columbia who are 18 years of age or older at the time of entry.  Employees, contractors, directors and officers of CDL Hotels USA, Inc. (“Sponsor”), its owner, or any of its parent, subsidiary and affiliated companies, retailers, distributors, licensees, manufacturers, web design, advertising, fulfillment, judging and promotion agencies involved in the administration, development, fulfillment and execution of this Promotion (collectively, “Promotion Parties”), and the immediate family members of each (spouse, parent, child, sibling, grandparent, and spouse of "step" of each) and those living in their same households (those persons whether related or not who live in the same residence for at least three months during the twelve-month period preceding the start date of the Promotion) are not eligible to participate.

  2. PROMOTION PERIOD:  Promotion begins on January 4, 2010 at 6:00:00 am Eastern Time (“ET”) and ends on February 4, 2010 at 11:00:00 pm ET (the “Promotion Period”) .

  3. TO ENTER:  To be eligible, an entrant must be registered with We Love Agents. To register, log on to www.weloveagents.com (“Web Site”). Follow the on-screen directions at www.weloveagents.com/MUmakeover to complete and submit the design. The completed design must be either emailed with your name, telephone number and e-mail address to lpetersen@mill-usa.com and received by 11:00:00 pm ET February 4, 2010 or mailed to: Millennium Hotel, New York, Broadway, attn: Lisa Petersen, 145 West 44th Street, New York, NY 10036, postmarked no later than February 1, 2010. Your name, telephone number and email address MUST be marked clearly on the back of the design sheet submitted, and not just on the envelope (if mailed).  Limit of one entry per person.

  4. DESIGNS:  All designs or drawings (“Design(s)”) must be ORIGINAL IDEAS and must reflect a location of a U.S. Millennium Hotel.  You can draw your Design on the provided cow template or draw it yourself, but the idea itself must be original. All designs must be on 8.5" by 11" sheets of paper. (We would prefer white.) You may, in fact we encourage you to, submit your design in color. If you color your design, DO NOT use anything that requires spray fixative, or may smear, smudge, stick, or flake off on other people's drawings. Sponsor reserves the right to alter the design in its sole discretion. This includes redrawing, resetting type and changing colors.
       
  5. ENTRANT’S WARRANTIES & REPRESENTATIONS:  (i) All entrants who submit a design, artwork, or other images (“Content”) confirm that he/she has all right, title and interest in and to the Content and that the entrant has the right to enter into and provide the license rights granted in this section to Sponsor. (ii) All entrants confirm that no portion of the Content uses, copies or is comprised of the copyrighted or trademarked works of any third-party and no royalty or other consideration is due or will become due to any third party arising out of the creation, copying or distribution of the Content. The entrant acknowledges that all right, title and interest including the copyright, trademark and other intellectual property rights in and to the Content shall vest at all times with Sponsor. (iii) All entrants under this Promotion irrevocably grant to Sponsor the perpetual, non-exclusive, royalty-free right to use, re-use, edit, change, crop, resize, reproduce, publish, display, distribute and/or otherwise transmit any reproduction of the Content submitted by such entrant and any picture, likeness, image, representation, negative, transparency, print, digital information, thereto or indicia, in whole or in part derived therefrom (collectively referred to as the “Representation”), with or without description or attribution, for any and all purposes including without limitation advertising, trade, display, exhibition and editorial use, throughout the universe in perpetuity, in all manner and media including electronically generated images and any other media, now known or hereinafter devised, without limitation whatsoever. An Entrant has no right to approve the final design selected for production. (iv) Each Entrant hereby irrevocably grants Sponsor the right to sublicense to a third-party, any and all of the foregoing rights and licenses relative to the Representation. (v) All entrants hereby agree to waive and release any right that such entrant may have to inspect and approve the finished product or copy that may be used in connection with the Representation and/or the use to which it may be applied. (vi) All entrants hereby waive their moral rights in the Representation in favor of Sponsor including the right to enjoin or claim damages for any modification of the Representation or any part thereof whatsoever, the right to be associated with the Representation and the right to enjoin any use, reproduction, distortion, or other modification of the Representation in connection with any product or service. (vii) All entrants hereby release, discharge and agree to defend, indemnify and hold harmless Sponsor and its sublicensors from any losses, damages, costs, expenses and claims whatsoever, whether foreseen or unforeseen, associated with the use of the Representation.

  6. INELIGIBLE ENTRIES:  All entries will be screened by Sponsor, in its sole discretion, for potential trademark and/or copyright infringement and for inappropriate content or design.  Entries deemed ineligible shall be destroyed by Sponsor.  No notification will be made to Entrant.

  7. MAKE A COPY OF YOUR ORIGINAL DESIGN:  All entrants should keep a photo-copy of their design and submit the original design. Sponsor shall not be liable for delays in postal delivery, lost mail or undeliverable emails. Your designs will not be returned.

  8. PRIZE SELECTION:  Sponsor will submit, in its sole discretion, ten designs to a panel of judges consisting of travel industry leaders (“Judges”).  One (1) Grand Prize winner and one (1) Runner-up will be selected by the Judges on or about February 9, 2010.  Winners will be chosen by the decision of the Judges in their sole discretion.  The Judges’ decisions will be final with respect to any and all matters relating to the selection of the winners.  The Grand Prize winner and Runner-up will be selected from all eligible entries received by the applicable entry period deadlines.  Odds of winning the Grand Prize Drawing depend on the number of eligible entries received.  In the event of a tie, Judges will conduct a random drawing of the tying entries to determine the Grand Prize winner and/or the Runner-up winner, as may be applicable.  In the event of a tie for the Grand Prize, one Grand Prize winner shall be selected from the tying entries.  The Runner-up winner shall be selected by the Judges from the remaining (non-tying) entries.  By participating, eligible entrants agree to abide by and be bound by these Official Rules and the Judges’ decisions.  Winners will be notified by e-mail, telephone or postal mail shortly after the Promotion closes.  If a winner cannot be located or does not respond to e-mail, mail or voice contacts within fourteen (14) days of the selection, his/her prize will be forfeited and awarded to an alternate entrant.  The prize winners will be required to complete, sign and return an Affidavit of Eligibility/Liability Release, and, where lawful, a Publicity Release within ten (10) days of attempted notification.  Non-compliance may at Sponsor’s sole discretion result in forfeiture of the prize.  Return of any prize or prize notification as undeliverable will result in forfeiture of the prize and selection of an alternate winner at the sole discretion of Sponsor.

    One (1) GRAND PRIZE:  Recognition of entrant’s winning design at the 2010 NBTA event August 8, 2010, and a 5-night stay at any Millennium Hotel worldwide (as listed in the Millennium Hotels and Resorts Worldwide Directory, excluding Maritim Hotels).  Approximate Retail Value (“ ARV”) of the Grand Prize is $1,800.00.  Actual value will vary depending on time of stay, location and hotel rate fluctuations.  Any difference between stated ARV and actual value will not be awarded.  No air travel is provided. All meals, gratuities, incidental hotel charges and other expenses associated with the Grand Prize not specifically mentioned in these rules are the Winner’s responsibility.  Stay must be completed by August 1, 2011, or Grand Prize will be forfeited.  Subject to availability and blackout dates.  The Grand Prize is not convertible to or redeemable in cash.

    RUNNER-UP PRIZE:  A 2-night stay at any U.S. Millennium Hotel. Approximate Retail Value (“ARV”) of the Runner-Up Prize is $600.00.  Actual value will vary depending on time of location, stay and hotel rate fluctuations.  Any difference between stated ARV and actual value will not be awarded.  No air travel is provided. All meals, gratuities, incidental hotel charges and other expenses associated with the Runner-Up Prize not specifically mentioned in these rules are the Winner’s responsibility.  Stay must be completed by August 1, 2011, or Runner-up Prize will be forfeited.  Subject to availability and blackout dates.  The Runner-Up Prize is not convertible to or redeemable in cash.

  9. GENERAL CONDITIONS:  Winners are solely responsible for any taxes on their respective prizes.  The winners will receive an IRS Form 1099 for the ARV of the prize. 

    No cash equivalent or substitution of any prize is offered, except as provided herein and at the sole discretion of the Sponsor.  Prizes may not be transferred. 

    By participating, entrants agree to these Official Rules and Sponsor’s Privacy Policy (available at www.millenniumhotels.com/corporate/privacypolicy.html) which are final and binding in all respects. 

    Unclaimed prizes will not be awarded.  If a prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute prize with another prize of equal or greater value. 

    If for any reason the Promotion is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion, Sponsor reserves the right, at its sole discretion, to cancel, modify or terminate the Promotion. 

    Sponsor’s decision will be final with respect to any and all matters relating to the Promotion.

    Sponsor reserves the right to disqualify any individual who tampers with Web Site or the entry process.

    Any entry that fails to comply with any of the requirements of the contest shall be disqualified and will not be considered by Sponsor or the Judges.

    This Promotion is offered only in the United States and is governed by the laws of the state of Colorado, and all claims must be resolved in the federal or state courts in City and County of Denver, Colorado.

  10. LIMITATIONS OF LIABILITY AND RELEASE:  All online entrants must have a valid e-mail address.  Sponsor and Promotion Parties are not responsible for errors of any kind, whether human, mechanical or electronic, regardless of cause that may limit a user's ability to participate in the Promotion.  No liability or responsibility is assumed by Sponsor or Promotion Parties resulting from user's participation in, attempt to participate in the Promotion, download of any data in connection with participating in the Promotion.  No responsibility or liability is assumed by the Sponsor or Promotion Parties for technical problems or technical malfunction arising in connection with any of the following occurrences, without limitation, that may affect the operation of the Promotion: hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any e-mail transmissions to be sent to or received; lost, late, delayed or intercepted e-mail transmissions; inaccessibility of the Web Site in whole or in part for any reason; traffic congestion on the Internet or Web Site; unauthorized human or non-human intervention of the operation of the Promotion, including without limitation, unauthorized tampering, hacking, theft, virus, bug, worm; or destruction of any aspect of the Promotion.  Neither Sponsor nor Promotion Parties are responsible for any typographical errors in the announcement of prizes or these Official Rules, or any inaccurate or incorrect data contained on the Web Site.  Use of Web Site is at user’s own risk.  Sponsor and the Promotion Parties are not responsible for any personal injury or property damage or losses of any kind that may be sustained to user's or any other person's computer equipment resulting from participation in the Promotion, use of the Web Site or the download of any or registering information from the Web Site.  By participating in the Promotion, the entrant releases Sponsor and the Promotion Parties from any and all claims, damages or liabilities arising from or relating to such entrant’s participation in the Promotion.  By accepting a prize, winner agrees to release and hold Sponsor and Promotion Parties, and all of their respective officers, directors, employees, representatives and agents harmless from and against, any liability for injuries, losses or damages of any kind to persons or property resulting in whole or in part, directly or indirectly, from participation in the Promotion; from acceptance, possession, misuse or use of a prize; and any liability for taxes, duties or other levies assessed upon any of the prizes.  Except if winner is a resident of Tennessee, or where prohibited by law, by accepting prize, winner grants permission for Sponsor and those acting under its authority to use his/her name, photograph, voice and/or likeness, for advertising and/or publicity purposes, in any and all media now known or hereinafter devised without territorial or time limitations and without additional compensation.

  11. OFFICIAL RULES/WINNERS LIST REQUEST:  For names of the Grand Prize Winner, Runner-Up Winner, or a copy of these Official Rules, send a self-addressed, stamped envelope, specifying “ Official Rules” or “Winners List” request, for receipt by December 31, 2010 to:  Millennium Broadway Hotel, “Official Rules” or “Winners List” Request, Attn: Lisa Petersen, 145 West 44th Street, New York, NY 10036.
